Corporate finance focuses on how businesses handle their funding sources, capital structuring, and investment decisions. Its primary objective is to maximize shareholder value through long-term and short-term financial planning.

Management Buyout and Management Buy-In are both transactions involving the acquisition of a company, but they differ in the parties involved and their objectives. In an MBO, the existing management team purchases the company they manage, often to gain more control and benefit from the company’s success directly. In contrast, an MBI involves an external management team acquiring the company. This external team believes they can add value through their expertise, experience, and possibly by bringing fresh perspectives or implementing new strategies. While MBOs are typically smoother due to the management’s familiarity with the company, MBIs can bring significant changes and new directions for the business.

An example of a corporate merger was the transaction between Virgin Media and O2 in 2021. Virgin Media, a prominent provider of broadband, TV, and mobile services, merged with O2, a leading mobile network operator and a subsidiary of Spain’s Telefónica. The merger, valued at approximately £31 billion, aimed to create apowerful competitor in the UK telecommunications market by combining O2’s mobile network with Virgin Media’s broadband and entertainment services.
